1. Acceptance of Terms
Welcome to Chatbotn. These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "your", or "Customer") and Chatbotn Ltd ("Chatbotn", "we", "us", or "our"), a company registered in the United Kingdom.
By accessing or using our website at chatbotn.com (the "Website") or our AI safety monitoring platform (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.
2. Description of Service
Chatbotn provides an AI safety monitoring platform that analyses conversational AI interactions for potential safety issues, including empathy failures, hallucinations, and context loss. Our Service includes:
- Real-time conversation monitoring and analysis
- Quality metric scoring (Empathy, Reliability, Consistency)
- Safety flag detection (Crisis, Boundary Violation, Harmful Advice)
- Incident reporting and audit trails
- Analytics dashboard and API access
- Alert notifications via email, Slack, and webhooks
3. Account Registration
To use our Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Maintain the security of your password and account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorised access or security breach
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
4. Acceptable Use
You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Service in violation of any applicable law or regulation
- Attempt to gain unauthorised access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to transmit malware, viruses, or harmful code
- Resell or redistribute the Service without our written consent
- Use automated tools to access the Service except through our official API
- Misrepresent your identity or affiliation with any person or entity
5. Customer Data
5.1 Ownership:You retain all rights, title, and interest in and to any data you submit to the Service ("Customer Data"). We do not claim ownership of your Customer Data.
5.2 License: You grant us a limited, non-exclusive license to process Customer Data solely to provide the Service and as described in our Privacy Policy.
5.3 Privacy Architecture: Our Service is designed with privacy by architecture. User messages in conversations are encrypted and inaccessible to Chatbotn staff. Only AI responses are analysed in plaintext. No personally identifiable information from end-user conversations is stored.
5.4 Data Processing Agreement: For Enterprise customers, we will enter into a Data Processing Agreement that complies with UK GDPR requirements upon request.
6. Fees and Payment
6.1 Subscription Fees: Access to the Service requires payment of subscription fees as specified on our Pricing page. All fees are quoted in British Pounds (GBP) unless otherwise stated.
6.2 Billing: Subscription fees are billed in advance on a monthly or annual basis. You authorise us to charge your designated payment method for all applicable fees.
6.3 Taxes: All fees are exclusive of applicable taxes (including VAT), which will be added where required by law.
6.4 Refunds: Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.
6.5 Price Changes:We may change our prices with 30 days' notice. Price changes take effect at the start of your next billing period.
7. Intellectual Property
7.1 Our Intellectual Property: The Service, including all software, algorithms, methodologies, designs, and documentation, is owned by Chatbotn and protected by intellectual property laws. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the Service as described herein.
7.2 Feedback: If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback without obligation to you.
8. Service Level and Support
8.1 Availability: We strive to maintain Service availability of 99.9% uptime, excluding scheduled maintenance. For Enterprise customers, specific SLA terms are available.
8.2 Support: Support is provided according to your subscription plan. Response times and support channels vary by plan level.
8.3 Maintenance: We may perform scheduled maintenance with reasonable advance notice. Emergency maintenance may be performed without notice when necessary to protect the Service or its users.
9. Limitation of Liability
9.1 Disclaimer:THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHATBOTN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.
9.3 Cap: OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
9.4 Safety Monitoring: While our Service is designed to detect potential safety issues in AI conversations, it is not a substitute for human oversight. We do not guarantee detection of all harmful content and shall not be liable for any harm arising from conversations our Service failed to flag.
10. Indemnification
You agree to indemnify, defend, and hold harmless Chatbotn and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of a third party
- Your Customer Data
11. Term and Termination
11.1 Term: These Terms remain in effect while you use the Service.
11.2 Termination by You: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.
11.3 Termination by Us: We may suspend or terminate your access immediately if:
- You breach these Terms
- Your payment fails and remains outstanding
- Continuing to provide the Service would violate law
- We cease to offer the Service
11.4 Effect of Termination: Upon termination, your right to use the Service ceases immediately. We will delete your Customer Data in accordance with our data retention policy.
12. Governing Law and Disputes
12.1 Governing Law: These Terms are governed by the laws of England and Wales.
12.2 Jurisdiction: Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12.3 Alternative Dispute Resolution: Before initiating legal proceedings, we encourage you to contact us to attempt to resolve any dispute amicably.
13. General Provisions
13.1 Entire Agreement: These Terms, together with our Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and Chatbotn regarding the Service.
13.2 Amendments: We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.
13.3 Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
13.4 No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.5 Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
